Terms of Service

These Terms govern use of ChineseBridge AI and sourcing services offered by GRIDI INTERNATIONAL TRADING Co., LIMITED ("ChineseBridge AI", "we", "us" or "our").

Effective date: [7/7/2025] ยท Website: www.chinesebridge-ai.com

1. Our role and services

ChineseBridge AI operates a B2B and B2C product sourcing and intermediary service. We help international buyers discover products and connect with third-party manufacturers and suppliers, primarily in Yiwu, China. Depending on the agreed quotation, services may include supplier communication, product specification review, sourcing assistance, coordination of quality checks, purchasing assistance, and organization of shipping through independent logistics providers.

Unless expressly stated in a confirmed quotation, ChineseBridge AI does not manufacture listed products or hold itself out as the original manufacturer. Listings and supplier information may originate from third parties. Product availability, specifications and pricing must be confirmed before an order is accepted.

2. Accounts and eligibility

You must provide accurate contact, shipping and billing information and keep your account secure. Business buyers represent that they are authorized to place orders for their organization. You are responsible for ensuring that requested products and their importation are lawful in your destination country.

3. Product search and AI assistance

Search results, AI-generated suggestions, translations, product descriptions and estimated attributes are provided to assist your evaluation. They may be incomplete or inaccurate and do not replace a confirmed supplier specification or written quotation. You should verify critical details, including materials, dimensions, branding, quantity, certification requirements and intended use, before accepting a quotation.

4. Sourcing requests and quotations

Submitting a sourcing request does not itself create a paid order or guarantee availability. When we can assist, we may issue a quotation specifying the products or services, quantities, currency, price components, shipping assumptions and relevant timing. An accepted quotation forms the commercial basis for the specific transaction, subject to these Terms and any written special conditions.

A quotation may include product costs, sourcing or service fees, domestic transportation, international freight, packaging or other disclosed charges. Estimates can change before acceptance if supplier prices, exchange rates, transport costs or specifications change. We will seek your agreement before charging additional amounts not already authorized.

5. Payments and invoices

Accepted orders may be paid using payment methods made available at checkout, including bank transfer and eligible card payments processed by Airwallex. Available payment methods and currencies are shown during checkout or on the invoice. We do not guarantee that every payment method is available to every customer or country.

Payments are applied to the quotation or order identified at checkout. Please verify the amount, currency, order reference and shipping details before paying. Card transactions may be subject to security checks and issuer authorization. A successful payment confirms receipt of funds for the relevant charge; it does not by itself mean that a supplier has completed production or that goods have been dispatched. Where applicable, an invoice or payment confirmation will be made available for the transaction.

You must not send payment to any personal or unverified account claiming to represent us. Contact support if you receive conflicting payment instructions.

6. Order execution and supplier coordination

After quotation acceptance and any required payment, we coordinate the agreed sourcing steps. Supplier production slots, stock availability, minimum order quantities and customization requests remain subject to supplier confirmation. If a material issue arises, we will contact you about available alternatives, revised terms or cancellation options before proceeding where your authorization is needed.

7. Shipping, delivery and import duties

Available logistics arrangements may include air freight, sea freight and express delivery through third-party providers such as DHL, FedEx, UPS or specialist forwarding partners, depending on the shipment. The business's stated logistics estimate is generally 30โ€“60 days depending on the shipping method; it is an estimate, not a guaranteed delivery deadline, and the applicable quotation should specify the shipment assumptions. Production, customs clearance and unexpected disruption can affect the actual schedule.

Unless your written quotation expressly includes them, import taxes, duties, customs fees, destination inspections and local delivery charges may be payable separately. You are responsible for providing correct shipping information and required import documentation. Risk transfer and delivery responsibilities for a particular shipment should follow the terms specified in the accepted quotation.

8. Cancellation, returns and refunds

Contact us promptly if you need to cancel or change an order. Eligibility and the refundable amount depend on the accepted quotation, applicable law and the order's progress. Before supplier purchasing or other committed work, we will assess what portion of the payment can be returned. After goods are purchased, customized, produced or dispatched, third-party commitments and non-recoverable charges may limit cancellation or refund options, except where applicable law requires otherwise.

If goods are materially inconsistent with confirmed specifications, damaged or missing, notify us with the order reference and relevant photographs or documents as soon as reasonably possible. We will review the issue with the supplier or carrier and explain the available remedy. Do not send returns to an address unless we authorize it in writing.

Approved refunds for card payments will normally be returned through the original payment method where supported; processing and posting times depend on the payment provider and issuing bank. Nothing in these Terms limits non-waivable consumer rights. A separate Shipping & Refund Policy should be published before payment-provider review.

9. Restricted products, branding and compliance

We primarily assist with general goods, unbranded products and OEM sourcing. You must not request counterfeit goods, unlawful products or use of third-party trademarks without appropriate authorization. You are responsible for identifying destination-market safety, labeling, certification and import requirements. We may decline sourcing requests that create legal, regulatory or safety concerns.

10. Intellectual property

The ChineseBridge AI website, software, branding and original content are owned by us or our licensors. Supplier-provided imagery and product information remain subject to the rights of their respective owners. You retain rights to materials you submit, while granting us permission to use them as necessary to process your requests and provide agreed services.

11. Service limitations

We aim to provide accurate information and reasonable sourcing coordination, but third-party suppliers, freight providers, customs agencies and payment networks operate independently. To the extent permitted by law, we are not responsible for delays or losses caused solely by circumstances outside our reasonable control. Nothing in these Terms excludes liability that cannot legally be excluded.

12. Complaints and disputes

Please first contact our support team with your request, quotation, payment or invoice reference and a description of the issue. We will review the records and seek a practical resolution. For payment concerns, contacting us promptly may help us resolve an issue before a formal payment dispute. This does not remove any rights you may have to raise a card dispute or exercise statutory remedies.

13. Changes and governing law

We may update these Terms and will publish the revised effective date. Material changes will apply prospectively unless legally permitted otherwise. Governing law and competent courts. Applicable mandatory consumer protections remain unaffected.
